Terms of Service

1. Eligibility & Sanctions Compliance

You must be at least 13 years of age to use Matchply. Users between the ages of 13 and 18 ("Minors") may only use the Service under the direct supervision of a parent, legal guardian, or authorized sports instructor/coach. Minors under 13 are strictly prohibited from creating accounts.

By using the Service, you represent and warrant that:

• You have the legal authority to enter into these Terms.
• You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country.
• You are not listed on any U.S. Government list of prohibited or restricted parties.

2. Account Registration and Security

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and keep your credentials secure. You are solely responsible for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

3. User Conduct and Prohibited Activities

Matchply is built on community and fair play. You agree not to engage in prohibited activities, including but not limited to:

• Harassing, bullying, threatening, or inciting violence against other users online or during physical matches.
• Creating fake accounts, impersonating others, or manipulating match statistics.
• Uploading malware, scraping data, or disrupting technical infrastructure.
• Promoting illegal acts, excessive drinking, drug use, or self-harm.
• Creating, uploading, or distributing child sexual abuse material (CSAM) or exploiting minors.

Reporting and Blocking: Matchply provides in-app tools to report abusive content or behavior and to block other users. We encourage users to use these tools whenever they encounter conduct that violates these Terms. Reported content and accounts will be reviewed in accordance with Section 4 (User-Generated Content & Apple Moderation Standards).

4. User-Generated Content (UGC) & Apple Moderation Standards

Users may upload profile photos, team logos, handles, custom event descriptions, and messages sent in chats ("User Content").

• License Grant: You retain ownership of your content, but grant Matchply a non-exclusive, worldwide, royalty-free license to store, display, and process your content solely for operating the Service.
• Zero Tolerance for Objectionable Content: Objectionable content—including hate speech, harassment, pornography, or intellectual property infringement—is strictly prohibited.
• 24-Hour Takedown Policy: In compliance with App Store guidelines, reported objectionable content will be reviewed and removed within 24 hours, and the offending user account will be barred/terminated.
• Trademark Protection: Users must not use any third-party trademarks, logos, brand names, or intellectual property without proper authorization, including but not limited to those belonging to professional sports clubs, federations, brands, or other organizations. If you believe your copyright or trademark is infringed, contact [email protected] for removal within 48 hours.

5. Fees, Subscriptions, and App Store Purchases

Matchply may offer premium subscriptions or event registration fees.

• App Store Processing: Purchases processed via Apple App Store or Google Play Store are subject to those platforms' respective payment terms.
• Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period via your device's App Store settings.
• Subscription Refunds: Subscriptions are billed and refunded by Apple or Google under their own refund policies. Except where required by applicable law or platform policies, subscription fees are non-refundable.
• Paid Games: Entry fees for paid games are processed by Stripe. Your card is authorized when you join and charged once your spot is confirmed. Matchply charges the organizer a service fee of 10% + $0.30 per payment (Leader plan) or 3% + $0.30 per payment (Manager plan); the fee is shown before a paid game is published.
• Refunds for Paid Games:
  • If the organizer cancels the game, removes you, or the game is called off or not played, you receive a full refund.
  • If you cancel 3 hours or more before the scheduled start, your refund is decided when the game starts: if another paying player has taken your spot, you receive the amount you paid minus the card processing fee; if no one has, you receive 50% of the amount you paid.
  • If you cancel less than 3 hours before the scheduled start, no refund is given.
  • Refunds are sent automatically to the card you paid with and can take 5-10 business days to appear.
• Tournament and League Entry Fees: Entry fees for tournaments and leagues are processed by Stripe and shown before you sign up. Refunds follow the cancellation rule shown on the event page; if the host cancels the event, everyone receives a full refund. When a team admin chooses to collect members' shares in the app, each member's share is paid to the team admin after the event, minus the Matchply service fee of the admin's plan; a member removed by the team admin receives a full refund of their share.
• Payouts to Organizers and Hosts: Organizers and hosts receive their payouts through Stripe Connect after the game or event, minus the Matchply service fee shown before publishing. Payouts require a Stripe account in good standing.
• Payments Made Outside Matchply: Costs split at the venue and any payment made directly to an organizer (cash, Zelle, Venmo, etc.) are not collected, held or refunded by Matchply.

6. Third-Party Organizers & Field Venues Disclaimer

Matchply acts solely as a technology platform connecting players, venue hosts, and event organizers. Matchply does not own, operate, or supervise physical sports venues, and does not run independent tournaments or leagues; it reviews them before they are published, as described in Section 7. Except as described in Section 7, we are not responsible for the quality, safety, cancellation, or fulfillment of third-party events.

7. Tournaments, Leagues & Prizes

• Approved Hosts Only: Only users whose host application has been approved by Matchply may create tournaments or leagues. Every tournament or league, including its entry fee, format and any prize it promises, is reviewed by Matchply before it is published.
• Skill-Based Competition Only: Prizes may only be awarded to the winners of real, skill-based sports games played in person, as determined by the results recorded in the Service. Betting, wagering, raffles, lotteries, sweepstakes, and any prize or outcome based on chance are prohibited.
• No Prize Pools from Entry Fees: A prize must be funded by the host or a named sponsor. Prizes may not be paid out of, or depend on, the entry fees collected from participants.
• Prize Limits: Matchply sets a maximum prize value for events and may decline any event whose prize exceeds it or that Matchply considers unsuitable.
• Compliance with Law: Each event, and any prize it offers, must comply with all applicable federal, state and local laws, including the laws of the state where the event takes place and any rules on contests, prizes and entry fees. An event that does not comply, or whose prize Matchply cannot verify, will not be approved.
• Verification: To approve an event with a prize, Matchply may ask the host for details about the prize and its sponsor, supporting documents, or other reasonable information.
• Prizes Provided by the Host: Unless Matchply states otherwise for a specific event, prizes are provided by the host, who must deliver them to the rightful winners within 30 days after the event ends and is responsible for any taxes or reporting that apply to the prize. Hosts may not promise prizes they cannot provide. Winners are responsible for any taxes on prizes they receive.
• Prize Not Received: A winner who has not received a promised prize may report it to [email protected]. A host who fails to deliver a prize, or who misrepresents one, may have their events cancelled, lose host status, and have their account suspended or terminated.
• Suspension or Cancellation: Matchply may decline, suspend or cancel any tournament or league that breaks these Terms or applicable law, or whose prize promise cannot be verified or kept. If a paid event is cancelled, participants receive a full refund of their entry fees as described in Section 5.
• Prizes Paid Through Matchply: For some events Matchply may collect a prize from the host in advance and pay it to the winners through the Service, or award prizes of its own. When it does, the official rules for that event are shown in the Service before you join.
• Apple and Google: Apple Inc. and Google LLC are not sponsors of, and are not involved in, any tournament, league or prize offered through the Service.

8. Physical Sports Safety & Assumption of Risk

PARTICIPATION IN RECREATIONAL SPORTS INVOLVES INHERENT RISKS OF BODILY INJURY, ILLNESS, OR PROPERTY DAMAGE. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH ATTENDING OR PARTICIPATING IN MATCHES ARRANGED THROUGH THE SERVICE. MATCHPLY IS NOT LIABLE FOR ANY INJURY, INCIDENT, OR DISPUTE OCCURRING AT PHYSICAL VENUES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATCHPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE, INTERACTIONS WITH OTHER USERS, OR PARTICIPATION IN MATCHES.

10. Indemnification

You agree to defend, indemnify, and hold harmless Matchply, its officers, directors, and employees from and against any claims, damages, liabilities, losses, or expenses (including legal fees) arising from your breach of these Terms, your User Content, or your participation in physical sports activities.

11. Account Termination

We reserve the right to suspend or permanently delete your account at any time without prior notice if you violate these Terms or pose a safety risk to the community.

13. Apple Specific Provision

If you download the app via the Apple App Store, you acknowledge that these Terms are concluded between you and Matchply only, not Apple. However, Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you.
